The selected package defines the first-phase scope. Major additions are handled through a written change request.
Exclusivity applies only to the purchased territory, duration and industry category, and remains active while payments are current.
Client customer data, pricing, suppliers, margins, uploaded documents and quotation records are treated as confidential.
The client owns their business data and uploaded materials. VAI retains the reusable platform framework unless a separate source-code assignment is agreed.
A phase is accepted when the agreed acceptance criteria are met or when the client approves launch/use of the delivered platform.
Monthly service includes reasonable operational support and bug fixes. New features, integrations and major workflow changes are quoted separately.
Service, support and exclusivity may be paused if invoices remain unpaid after the agreed grace period.
